Terms of Service
Effective June 2026
These terms govern your use of Noxen's services. By engaging Noxen you agree to these terms.
Services
Noxen provides AI automation services including chatbot development, email management systems, and outreach automation for small businesses in Ontario. All services are delivered remotely via email — no in-person meetings or calls are required.
The specific services, deliverables, and timeline for each engagement are outlined in a Statement of Work agreed upon before work begins.
Payment
Services consist of a one-time setup fee and a monthly retainer. The setup fee is due before work begins and is non-refundable once development has started. The monthly retainer is billed on a recurring basis and covers ongoing maintenance, monitoring, and support.
All prices are in Canadian dollars.
Month-to-Month
Retainer agreements are month-to-month with no long-term commitment. You may cancel at any time with 30 days written notice to info@noxen.ca. Cancellation takes effect at the end of the current billing period.
What You're Responsible For
To deliver your automation system, we need accurate information about your business — your services, FAQs, pricing, and workflow details. You are responsible for providing this information promptly and keeping us informed of any material changes.
You are also responsible for ensuring your use of our systems complies with applicable laws, including Canada's Anti-Spam Legislation (CASL) where outreach features are used.
Ownership
Noxen retains ownership of all automation systems, workflows, and underlying infrastructure built on your behalf. Your monthly retainer covers continued access to and maintenance of these systems. Upon cancellation, access to Noxen-built systems is discontinued.
Any content, copy, or materials you provide remain your property.
Results
Noxen builds and maintains automation systems to a professional standard. We do not guarantee specific business outcomes such as lead volume, revenue growth, or response rates. Results depend on many factors outside our control including your industry, market conditions, and website traffic.
Limitation of Liability
To the maximum extent permitted by law, Noxen's liability for any claim arising from our services is limited to the amount paid in the 30 days preceding the claim. We are not liable for indirect, incidental, or consequential damages of any kind.
Changes to These Terms
We may update these terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated terms. We will notify active clients of material changes by email.
Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
